This document sets forth the terms governing your use of the MaintainWP platform. We encourage you to also review our Privacy Policy and our Fees & Service Scope page, which explain how we handle personal information and how certain service fees, support rules, request categories, and scope boundaries are structured.
Prior to utilizing any MaintainWP services, you must read, comprehend, and consent to these terms. Account creation, purchases, subscriptions, license activation, software downloads, or use of MaintainWP services are only permitted after reviewing and accepting these conditions. The explanatory content provided on other service pages is intended to help describe the Services and does not replace these Terms unless expressly stated in writing.
Agreement to Terms
The website located at maintainwp.com, including all associated pages, customer accounts, support areas, checkout pages, software downloads, license management tools, cloud-connected plugin services, and related online features (“Platform”), is owned and managed by MaintainWP, LLC (“MaintainWP”) and is made available to you subject to the Terms of Use outlined herein (“Terms”).
We ask that you carefully review these Terms before utilizing our Services. By accessing the Platform, consuming any content, creating an account, purchasing a product or service, activating a license, downloading software, submitting support requests, or engaging with any Services offered on the Platform, you consent to be governed by these Terms, which alongside our Privacy Policy and any applicable checkout terms, proposal, written agreement, or service-specific terms, establish our relationship with you regarding the Platform and Services. Should you find any portion of these Terms unacceptable, you must refrain from accessing the Platform and using the Services.
Service Overview
The Platform provides WordPress website maintenance, management, configuration, support, website build services, software products, plugin licenses, AI-assisted plugin features, cloud-connected plugin services, usage-based upgrades, and related content and functionality. Our offerings encompass, but are not limited to, any service, software, license, usage credit, feature, support, content, material, or work product MaintainWP provides to you or performs on your behalf, including any materials displayed, transmitted, generated, processed, or executed on the Platform or through the Services.
Your ability to access and utilize the Platform may occasionally be disrupted due to equipment failures, updates, maintenance, repairs, third-party provider issues, usage limits, security events, or any other circumstances within or beyond MaintainWP’s control. MaintainWP retains the authority to pause, limit, suspend, modify, or terminate Platform availability and/or any Service and/or remove any Content at any moment at its exclusive discretion without advance notification.
Unless expressly agreed in writing or stated for a specific product, MaintainWP services and plugin support are intended for standard single-site WordPress installations and may not accommodate WordPress multisite configurations.
Fees, Service Scope, and Additional Charges
Specific fees, support request rules, website creation scope, additional-page fees, monthly service-hour rules, request categories, out-of-scope examples, expedite charges, and separately billable work are described on our Fees & Service Scope page, applicable checkout pages, invoices, proposals, statements of work, or written agreements.
The Fees & Service Scope page is intended to work together with these Terms by explaining practical service boundaries and common fee rules. These Terms remain the governing legal terms for your use of the Platform and Services. If a signed written agreement, checkout-specific term, invoice, or proposal conflicts with the Fees & Service Scope page for a specific purchase, that more specific document controls for that purchase to the extent of the conflict.
MaintainWP may determine whether a request is included work, monthly service-hour work, separately billable work, outside the selected plan, or unsupported. MaintainWP may request approval before beginning billable work and may decline requests that are outside MaintainWP-supported services.
Account Registration
To access certain Services, you may need to establish an account with MaintainWP by selecting a username and password and supplying registration details. The registration details you submit must be precise, comprehensive, and up-to-date at all times. Non-compliance represents a violation of the Terms and may result in immediate account termination.
Your username cannot impersonate another individual or entity, utilize a name not legally available for your use, employ a name or trademark belonging to another person or entity without proper authorization, or be offensive, vulgar, or obscene in nature.
You bear responsibility for safeguarding your password’s confidentiality and accept full accountability for all activities stemming from your password’s use and conducted via your MaintainWP account, license keys, subscriptions, customer portal, or connected services.
Our Services are exclusively available to individuals aged 18 years or older.
Purchases, Subscriptions, Renewals, and Taxes
Prices, billing periods, included features, license tiers, site limits, usage limits, renewal terms, upgrade terms, downgrade terms, and cancellation options may be shown on the applicable checkout page, product page, account page, Fees & Service Scope page, invoice, proposal, written agreement, or other service-specific page. MaintainWP may correct pricing or typographical errors and may change future pricing, packages, plan names, features, usage limits, or renewal terms at any time unless prohibited by law or a written agreement.
Subscriptions, memberships, licenses, maintenance plans, and usage-credit upgrades may renew automatically unless cancelled before renewal according to the process provided by MaintainWP or its payment processor. You authorize MaintainWP and its payment processors to charge the payment method associated with your account for applicable fees, renewals, taxes, and approved additional charges.
You are responsible for all taxes, chargebacks, failed payment fees, and other amounts associated with your purchase except to the extent MaintainWP is required by law to collect or remit taxes directly. MaintainWP may suspend or terminate access to Services, software updates, license validation, support, cloud-connected features, AI usage, hosting, maintenance, or account features for unpaid, disputed, reversed, or failed payments.
Website Build Services
Website build services are provided according to the package, quote, statement of work, checkout description, Fees & Service Scope page, or written scope applicable to the purchase. A base website build may include creation of a homepage, and additional pages, expanded functionality, advanced layouts, custom development, or third-party costs may require additional fees or a separate agreement.
You are responsible for providing accurate content, images, branding materials, credentials, approvals, and instructions needed to complete website build work. Unless expressly included in the applicable scope, website build services do not include full copywriting, brand identity creation, logo design, photography, paid third-party assets, custom plugin development, complex integrations, ecommerce configuration, or other specialized work.
MaintainWP may use WordPress, themes, plugins, templates, reusable patterns, stock assets, third-party services, and other commercially reasonable tools to complete website build work. Ownership of your pre-existing content remains with you, but MaintainWP retains ownership of its pre-existing tools, processes, software, reusable code, internal systems, workflows, plugins, templates, and know-how.
Software, Plugin Licenses, and Updates
MaintainWP may offer free plugins, paid plugins, pro add-ons, license keys, software downloads, updates, support access, and related account features. A purchase of a paid plugin, pro version, license, subscription, or membership grants you a limited, revocable, non-exclusive, non-transferable license to use the applicable software or feature according to the license tier, product description, applicable open-source license, checkout terms, and these Terms. A purchase does not transfer ownership of MaintainWP software, trademarks, cloud services, proprietary systems, or related intellectual property.
License keys may be used to activate software, receive updates, access pro features, register approved websites or domains, and validate usage limits. You may not share, resell, sublicense, publish, abuse, reverse engineer proprietary portions of, circumvent restrictions in, bypass license validation for, or otherwise misuse MaintainWP software, license keys, updates, pro features, cloud-connected services, or account credentials, except to the extent expressly permitted by applicable open-source licenses or law.
Free plugins made available through the official WordPress plugin repository remain subject to the applicable WordPress.org and open-source license requirements for those plugins. Paid features, paid downloads, license management, cloud services, pro functionality, support eligibility, updates outside the WordPress.org repository, and usage limits may be governed by additional terms, product descriptions, or license restrictions.
AI-Assisted Features and Cloud Usage
Some MaintainWP plugins may connect to MaintainWP-controlled cloud services to process requests, communicate with proprietary AI or language model systems, enforce account or license limits, provide usage-based features, or deliver AI-assisted functionality. By using those features, you authorize MaintainWP to transmit, process, and return the information necessary to provide the requested feature, subject to our Privacy Policy and any product-specific notices.
AI-assisted features may produce incomplete, inaccurate, unsuitable, or unexpected output. You are responsible for reviewing, approving, testing, backing up, and deciding whether to publish or rely on any AI-generated or AI-assisted content, code, block edits, suggestions, summaries, or other output. MaintainWP does not guarantee that AI-assisted output will be accurate, lawful, secure, original, non-infringing, error-free, or appropriate for your specific use.
You may not use MaintainWP AI-assisted features to submit unlawful, harmful, infringing, confidential, regulated, or highly sensitive information unless you have all necessary rights and authority to do so and the use is permitted by law. MaintainWP may limit, suspend, throttle, refuse, or terminate AI-assisted features to prevent abuse, comply with law, manage provider costs, maintain service availability, or protect MaintainWP, users, clients, and third parties.
Usage Limits, Credits, and Product Access
Access to certain plugin features, AI-assisted features, cloud-connected features, updates, support, and usage limits may depend on your active license, subscription, membership, purchase level, account status, product tier, or separately purchased usage-credit upgrade. Free versions may include lower limits, restricted features, or upgrade prompts. Pro versions or usage-credit upgrades may increase limits or unlock additional functionality, but do not guarantee unlimited access unless expressly stated in writing.
Unless expressly stated otherwise in the applicable product description, usage credits and usage limits have no cash value, are not a bank account or stored-value product, may be measured by requests, tokens, actions, features, time, websites, domains, or other usage metrics, and may expire, reset, renew, or be reduced according to the applicable subscription, purchase, or product rules.
MaintainWP may change, rebalance, reduce, increase, or enforce usage limits when reasonably necessary to operate the Services, prevent abuse, manage technical constraints, reflect provider costs, or maintain service availability. MaintainWP does not guarantee uninterrupted access to AI-assisted features, cloud-connected services, updates, or usage-based features.
Support, Service Hours, and Request Scope
Support requests, monthly service hours, response expectations, minimum charges, expedite fees, developer/customization fees, included request categories, and out-of-scope examples are described on our Fees & Service Scope page, applicable plan pages, checkout pages, written proposals, invoices, or written agreements.
MaintainWP may review each request and determine whether it is included in your active plan, applied against available service time, separately billable, unsupported, or outside the selected plan. MaintainWP may require management approval, additional information, credentials, written authorization, or payment approval before beginning work.
Unless expressly agreed in writing, unused monthly service time does not roll over, has no cash value, and cannot be exchanged for discounts, refunds, unrelated services, or future credits.
Client Responsibilities
You are responsible for providing accurate information, necessary access, credentials, licenses, approvals, content, images, account permissions, third-party service access, and timely feedback required for MaintainWP to provide the Services. Delays, incomplete information, missing access, third-party restrictions, or failure to respond may delay or prevent delivery of Services.
You represent that you have all rights, permissions, licenses, and authority necessary to provide materials, content, images, credentials, websites, domains, data, and instructions to MaintainWP and to authorize MaintainWP to use them in providing the Services. You are responsible for the legality, accuracy, ownership, and suitability of materials you provide.
You are responsible for maintaining your own records, business decisions, compliance obligations, website content, and final approvals. MaintainWP may provide technical services, recommendations, support, or AI-assisted output, but you remain responsible for reviewing and approving changes before relying on them or publishing them.
Intellectual Property Rights
MaintainWP, maintainwp.com, MaintainWP software products, plugin names, proprietary cloud services, proprietary AI systems, graphics, logos, designs, page headers, button icons, scripts, service names, documentation, and related materials constitute the intellectual property of MaintainWP except where third-party or open-source licenses expressly provide otherwise. MaintainWP’s intellectual property shall not be utilized in conjunction with any product or service absent prior written authorization from MaintainWP. The images and icons provided in the MaintainWP Press Kit may be employed by partners and third-party websites when creating appropriate links to the MaintainWP Platform.
You retain ownership of your pre-existing website content, brand materials, logos, images, and other materials you provide to MaintainWP, subject to any third-party rights or licenses. MaintainWP retains ownership of its pre-existing software, plugins, tools, systems, reusable code, workflows, documentation, internal methods, templates, processes, and know-how, even if used to provide Services to you.
Website deliverables, configuration work, or other work product created specifically for you may be provided for your use subject to payment in full, these Terms, the applicable scope, and any third-party license restrictions. Nothing in these Terms transfers ownership of MaintainWP plugins, proprietary services, internal tools, AI systems, or reusable methods unless expressly stated in a signed written agreement.
Third-Party Services
MaintainWP Services may involve WordPress, themes, plugins, hosting providers, DNS providers, CDN providers, payment processors, email providers, AI providers, analytics tools, security tools, backup tools, and other third-party services. MaintainWP is not responsible for third-party service availability, pricing, security, changes, outages, license restrictions, support, or terms.
You may be required to maintain third-party accounts, subscriptions, licenses, credentials, or billing relationships. Third-party fees, premium plugin licenses, premium themes, domain registration fees, email hosting, advertising costs, stock assets, fonts, and other outside costs are not included unless expressly stated in a written proposal, checkout page, invoice, or signed agreement.
Termination & Account Cancellation
You may cancel an eligible service, subscription, membership, or license renewal at any time according to the cancellation process available through your account, checkout provider, support portal, or the contact methods provided by MaintainWP. Cancellation stops future renewals only unless a different written agreement applies. Cancellation does not automatically refund past payments, completed work, setup fees, usage credits, software licenses, renewals, approved billable work, or third-party charges.
MaintainWP reserves the right to terminate, suspend, limit, throttle, deactivate, or refuse any Services, account, license key, software access, support access, cloud-connected feature, or AI usage immediately, without advance notice, for breach of these Terms, nonpayment, chargebacks, abuse, suspected fraud, security risk, misuse, unlawful conduct, attempts to bypass license or usage limits, or any conduct MaintainWP determines may harm MaintainWP, its clients, users, providers, systems, or third parties.
Upon termination or cancellation, your right to access certain Services, updates, support, licenses, usage credits, cloud features, AI-assisted features, hosting, maintenance, or account functionality may end. You may reach us through the contact page to submit a termination request.
Release and Indemnification
You expressly and irrevocably release and permanently discharge MaintainWP, its affiliated entities, and their respective directors, officers, employees, agents, representatives, contractors, licensees, successors, and assigns from any and all actions, causes of action, lawsuits, proceedings, liabilities, debts, judgments, claims, and demands whatsoever, whether in law or equity, which you have had, currently have, or may subsequently have, arising directly or indirectly from your utilization of the Platform and the Services.
You agree to indemnify and hold harmless MaintainWP, its affiliated entities, and their respective directors, officers, employees, agents, representatives, contractors, licensees, successors, and assigns from all claims, losses, expenses, damages, and costs, plus reasonable legal fees, arising from (i) any breach of these Terms, (ii) use of the Services by you or anyone accessing your account, license key, website, credentials, or MaintainWP account, (iii) materials, content, instructions, credentials, or information you provide, or (iv) any infringement or alleged infringement of third-party rights.
Liability Limitations
Under no circumstances shall MaintainWP be held liable under contract, tort, strict liability, negligence, or any other legal doctrine concerning the Platform, the Services, software, licenses, support, cloud-connected features, AI-assisted features, website work, or any content for lost profits, lost revenue, lost data, business interruption, loss of goodwill, special, indirect, incidental, punitive, exemplary, or consequential damages of any nature whatsoever.
To the maximum extent permitted by law, MaintainWP’s total liability for any claim relating to the Platform, Services, software, support, website work, subscriptions, licenses, usage credits, or these Terms shall not exceed the amount you paid to MaintainWP for the specific Service giving rise to the claim during the three months immediately preceding the event giving rise to the claim.
Modifications
MaintainWP reserves the authority, at its sole discretion, to modify or update these Terms at any time. Should alterations represent a substantial change to the Terms, MaintainWP will notify you via announcement posted on the Platform, email, account notice, or other reasonable method. Continued use of the Platform or Services after updated Terms become effective constitutes acceptance of the updated Terms.
General Provisions
No agency, partnership, joint venture, or employment relationship is established as a result of these Terms, and you possess no authority to bind MaintainWP in any manner. The failure of either party to exercise any right provided herein shall not constitute a waiver of any further rights hereunder.
If any portion of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy, Fees & Service Scope page, applicable checkout terms, product-specific terms, written proposals, invoices, statements of work, and signed agreements, constitute the agreement between you and MaintainWP concerning the applicable Services.
