Prior to utilizing any MaintainWP services, you must read, comprehend, and consent to these terms. Account creation is only permitted after reviewing and accepting these conditions. The explanatory column provided alongside serves as a guide and carries no legal weight.

The website located at maintainwp.com, including all associated pages (“Platform”), is owned and managed by MaintainWP, LLC (“MaintainWP”) and is made available to you subject to the Terms of Use outlined herein (“Terms”).

We ask that you carefully review these terms before utilizing our services. By accessing the platform, consuming any content, or engaging with any services offered on the platform (each defined below), you consent to be governed by these terms, which alongside our Privacy Policy, establish our relationship with you regarding the platform. Should you find any portion of these terms unacceptable, you must refrain from accessing the platform.

The Platform provides website maintenance solutions to owners of websites operating on single-site WordPress installations. Our offerings encompass, but are not limited to, any service and/or content MaintainWP provides to you or performs on your behalf, including any materials displayed, transmitted, or executed on the Platform or through the Services.

Your ability to access and utilize the Platform may occasionally be disrupted due to equipment failures, updates, maintenance, repairs, or any other circumstances within or beyond MaintainWP’s control. MaintainWP retains the authority to pause or terminate Platform availability and/or any Service and/or remove any Content at any moment at its exclusive discretion without advance notification.

MaintainWP services do not accommodate multi-site WordPress configurations.

To access our Services, you must establish an account with MaintainWP by selecting a username and password, and supplying registration details. The registration details you submit must be precise, comprehensive, and up-to-date at all times. Non-compliance represents a violation of the Terms and may result in immediate account termination.

Your username cannot impersonate another individual or entity, utilize a name not legally available for your use, employ a name or trademark belonging to another person or entity without proper authorization, or be offensive, vulgar, or obscene in nature.

You bear responsibility for safeguarding your password’s confidentiality and accept full accountability for all activities stemming from your password’s use and conducted via your MaintainWP account.

Our Services are exclusively available to individuals aged 18 years or older.

You expressly and irrevocably release and permanently discharge MaintainWP, its affiliated entities, and their respective directors, officers, employees, agents, representatives, contractors (both independent and dependent), licensees, successors, and assigns from any and all actions, causes of action, lawsuits, proceedings, liabilities, debts, judgments, claims, and demands whatsoever, whether in law or equity, which you have had, currently have, or may subsequently have, arising directly or indirectly from your utilization of the Platform and the Services.

You agree to indemnify and hold harmless MaintainWP, its affiliated entities, and their respective directors, officers, employees, agents, representatives, contractors (both independent and dependent), licensees, successors, and assigns from all claims, losses, expenses, damages, and costs (including but not limited to direct, incidental, consequential, exemplary, and indirect damages), plus reasonable legal fees, arising from (i) any breach of these Terms, (ii) use of the Services by you or anyone accessing your account or MaintainWP credentials, or (iii) any infringement of third-party rights.

Under no circumstances shall MaintainWP be held liable under contract, tort, strict liability, negligence, or any other legal doctrine concerning the platform, the service, or any content for (i) lost profits or special, indirect, incidental, punitive, or consequential damages of any nature whatsoever.

MaintainWP, maintainwp.com, and other MaintainWP LLC graphics, logos, designs, page headers, button icons, scripts, and service names constitute the intellectual property of MaintainWP. MaintainWP’s intellectual property shall not be utilized in conjunction with any product or service absent prior written authorization from MaintainWP. The images and icons provided in the MaintainWP Press Kit may be employed by partners and third-party websites when creating appropriate links to the MaintainWP Platform.

Each inquiry is subject to a 30 minute minimum charge. Developer assistance and customization services are billed at an additional rate of $50/half-hour (30 minutes), per inquiry.

Response times for non-urgent requests may take up to 48 hours. All requests require approval from your assigned representative or MaintainWP management. Urgent or expedited requests may incur an additional expedite fee of $25/half-hour (30 minutes).

MaintainWP reserves the right to terminate or suspend any Services and/or your account immediately, without advance notice or liability, for any reason, including but not limited to Terms violations. Upon account termination, your authorization to use the Services will immediately end. To terminate your MaintainWP account, you must contact us with your cancellation request. All Terms provisions that by their nature should survive termination shall continue in effect, including but not limited to ownership provisions, warranty disclaimers, indemnification, and liability limitations.

MaintainWP reserves the authority, at its sole discretion, to modify or update these terms at any time. Should alterations represent a substantial change to the terms, MaintainWP will notify you via announcement posted on the platform. What qualifies as a substantial change will be determined solely by MaintainWP. You are responsible for reviewing and familiarizing yourself with any modifications. Continued use of any service or viewing of any content following notification of a substantial change to the terms constitutes your acceptance of the modified Terms.

No agency, partnership, joint venture, or employment relationship is established as a result of these Terms, and you possess no authority to bind MaintainWP in any manner. The failure of either party to exercise any right provided herein shall not constitute a waiver of any subsequent rights. MaintainWP shall not be held liable for any failure to perform obligations when such failure results from causes beyond MaintainWP’s reasonable control, including but not limited to mechanical, electronic, or communications failures or degradation (including line interference). Should any provision of these Terms be deemed unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary while the Terms otherwise remain in full force and enforceable. MaintainWP may transfer, assign, or delegate these Terms and its rights and obligations without requiring consent. These Terms shall be governed by and interpreted according to the laws of The United States of America, as if executed within Maryland between two Maryland residents, and both parties submit to the exclusive jurisdiction of Maryland courts. Both parties acknowledge that these Terms represent the complete and exclusive statement of mutual understanding and supersede all prior written and oral agreements, communications, and understandings related to the subject matter, and that all modifications must be documented in writing signed by both parties, except as otherwise specified herein
